Who these terms are with

These Terms of Service (the “Terms”) form an agreement between you and EarnThread, a software service operated from Ireland (“EarnThread”, “we”, “us” or “our”). They apply when you visit or use EarnThread, create an account, operate a storefront or otherwise use our platform services.

By creating an account or using the service, you agree to these Terms and our Privacy Policy. If you use EarnThread for an organisation, you confirm that you have authority to bind it. If you do not agree, do not use the service.

Accounts and eligibility

You must be at least 18 years old and legally capable of entering this agreement. You must provide accurate information, keep it current and protect your login credentials. You are responsible for activity performed through your account except where caused by our failure to use reasonable care.

Tell us promptly at accounts@earnthread.com if you suspect unauthorised access. You may not sell, transfer or share an account in a way that undermines security or misrepresents who operates a storefront.

The EarnThread service

EarnThread provides tools for creator storefronts, digital products, lead capture, bookings, audience management, analytics, content workflows and third-party integrations. Features differ by plan and may depend on external services.

We may improve, replace or discontinue features. Where a change materially reduces a paid service, we will provide reasonable notice when practicable and any remedy required by applicable law. We do not guarantee that every integration, social platform permission or feature will remain available because third parties control their own systems and approval processes.

You may use EarnThread only in compliance with these Terms, applicable law and the documented limits of your plan. You may not reverse engineer the service except where law expressly permits it, interfere with its security, bypass limits, scrape it at unreasonable scale or use it to build a competing service from protected non-public elements.

Plans, trials and fees

Platform subscriptions

EarnThread may offer free and paid plans. Current plan prices, included features and platform fees are displayed before you subscribe. Unless the checkout states otherwise, paid plans are billed monthly in advance and renew automatically until cancelled.

Trials

Growth and Scale currently include a 14-day free trial for eligible new subscribers. The checkout shows the date and amount of the first payment. Unless you cancel before the trial ends, Stripe will charge the payment method you provided for the selected plan and the subscription will then renew at the disclosed interval.

Cancellation and price changes

You can cancel through the billing portal in your EarnThread settings. Cancellation ordinarily takes effect at the end of the current billing period, so you retain access until then. We will not charge a period beginning after an effective cancellation. We will give reasonable advance notice of increases to recurring prices, and an increase will apply no earlier than your next renewal after that notice.

Taxes and refunds

Prices are shown with any applicable tax treatment at checkout. Except where these Terms or applicable law provide otherwise, subscription fees already paid are non-refundable. Consumers may have statutory cancellation and digital-service remedies, including rights under Ireland’s Consumer Rights Act 2022. Nothing here restricts those rights.

Creator commerce and payments

Creators are responsible for their offers

A creator using EarnThread is the seller of the products, content, bookings or memberships shown on their storefront unless the checkout expressly says otherwise. The creator is responsible for descriptions, pricing, fulfilment, refunds, customer support, taxes, licences and compliance with consumer and advertising law.

Stripe Connect

Creators connect their own Stripe accounts through Stripe Connect. Customer payments for creator offers are ordinarily processed as direct charges on the creator’s connected account. EarnThread does not store card numbers and does not normally take custody of creator payout balances. Stripe’s own terms, verification, reserves, disputes and processing fees also apply.

Platform fees, refunds and disputes

EarnThread may collect the platform fee disclosed for the creator’s plan. Stripe payment-processing charges are separate. Creators authorise the disclosed platform fee and remain responsible for refunds, chargebacks, disputes and negative balances associated with their connected account. EarnThread may assist with technical routing but does not decide the merits of a buyer’s claim against a creator.

Customers buying from creators

A customer’s purchase contract is normally with the relevant creator. Customers should first contact that creator about access, fulfilment, cancellations or refunds, and may contact EarnThread support if they cannot identify the appropriate route. Statutory consumer rights against the seller remain unaffected.

Content and acceptable use

You retain ownership of content you upload or create. You grant EarnThread a worldwide, non-exclusive, royalty-free licence to host, reproduce, adapt for technical formatting, display and transmit that content only as needed to provide, secure, promote and improve the service. The licence ends when the content is deleted, subject to reasonable backups, legal retention and content already shared at your direction.

You confirm that you have the rights and permissions needed for your content, offers, customer data and marketing. You must not use EarnThread for:

• illegal, fraudulent, deceptive or infringing activity;
• malware, phishing, credential theft, spam or manipulation of platform security;
• child sexual abuse material, sexual exploitation, credible threats or instructions intended to facilitate serious harm;
• unlawful hate, harassment, discrimination or invasion of privacy;
• regulated goods or services where you lack required authorisation;
• false testimonials, misleading earnings claims or marketing without required consent; or
• collecting, uploading or using personal data without a valid legal basis and appropriate notice.

Moderation, reports and suspension

We may investigate content or conduct that appears unlawful, harmful, fraudulent or contrary to these Terms. Depending on severity, we may restrict distribution, remove content, pause commerce, suspend integrations or limit or terminate an account. We consider context, the nature and frequency of the issue, potential harm and legal obligations.

Where required and legally permitted, we will give the affected user a clear explanation of a material restriction and an opportunity to challenge it. We may act without advance notice where reasonably necessary to protect people, preserve evidence, prevent fraud, respond to an urgent legal request or secure the platform.

To report illegal or rights-infringing content, identify the URL, explain the issue and provide supporting information to accounts@earnthread.com. Knowingly submitting false or abusive reports is prohibited.

Intellectual property

EarnThread and its licensors own the service, software, visual system, documentation, trademarks and other platform materials, excluding user content. These Terms give you a limited, revocable, non-transferable right to use the service for its intended purpose while your account is active.

If you send product feedback, you allow us to use it without restriction or payment, but you do not transfer ownership of confidential information or pre-existing intellectual property merely by giving feedback.

Ending the agreement

You may stop using EarnThread and request account deletion through account settings. Before deletion, export information you need and complete outstanding customer obligations. Some financial, security and legal records must be retained as described in our Privacy Policy.

We may suspend or terminate access for a material or repeated breach, non-payment, fraud, serious risk to others, legal obligation or discontinuation of the service. Where appropriate, we will give notice and a reasonable chance to fix the issue. Provisions that by their nature should continue—including payment obligations, ownership, liability limits and dispute terms—survive termination.

Warranties and liability

We will provide EarnThread with reasonable care and skill. The service may occasionally be unavailable for maintenance, security, third-party failures or events outside our reasonable control. We do not guarantee specific sales, audience growth, platform approvals, uninterrupted availability or that third-party services will continue to interoperate.

For business users, to the fullest extent permitted by law, EarnThread is not liable for indirect or consequential loss, lost profits, lost opportunities, loss of goodwill or loss arising from creator content, creator-customer disputes or third-party services. Our aggregate liability arising from the service will not exceed the greater of €100 or the fees you paid EarnThread in the 12 months before the event giving rise to the claim.

Those limitations do not apply where prohibited by law, or to liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, wilful misconduct, or any consumer right or other liability that cannot legally be limited. Consumers retain all mandatory remedies available under applicable law.

A business user will indemnify EarnThread against third-party claims and reasonable costs caused by that user’s unlawful offers, infringement, misuse of customer data or material breach of these Terms, except to the extent the claim was caused by EarnThread.

Governing law, disputes and changes

These Terms are governed by Irish law. The courts of Ireland have jurisdiction, but if you are a consumer living elsewhere in the European Economic Area or another jurisdiction with mandatory consumer protections, you may also benefit from those protections and bring a claim in any forum the law permits.

Please contact accounts@earnthread.com first so we can try to resolve a concern. Nothing prevents either party seeking urgent protective relief or using a regulator, court, alternative dispute process or consumer complaint route available by law.

We may update these Terms to reflect service, legal, security or commercial changes. We will publish the revised terms and effective date. We will provide reasonable advance notice of a material change affecting existing paid use when required, and explain available choices. Continued use after the effective date constitutes acceptance where legally permitted.

If a provision is unenforceable, the rest remains effective. A delay in enforcing a right is not a waiver. You may not assign this agreement without our consent; we may assign it as part of a reorganisation or transfer of the service, subject to applicable law.
